These Terms of Service ("Terms") govern your use of Keikens' Services. These Terms apply to all use of the Services, except where inconsistent with applicable law.

General Clauses

Contractual Relationship

These Terms govern your access to and use of the Keikens web and mobile application, AI-powered guidance and chat features, activity platform, scheduling tool, and related products and services (collectively, the "Services"), provided by Keikens Co. and its affiliates ("Keikens," "we," or "us").
By using the Services, you agree to be legally bound by these Terms. We may modify these Terms at any time. If you do not agree to changes, you must stop using the Services.

Providers who offer activities through Keikens are also subject to a separate written Provider Agreement, which governs their commercial terms (including fees, payouts, and provider obligations). In the event of a conflict between these Terms and the Provider Agreement with respect to a Provider, the Provider Agreement controls.

Interpretation
 

• Headings are for convenience only.

• "Including" means "including, but not limited to."

• Singular includes plural and vice versa.
   

Eligibility

The Services are intended for adults aged 18 or older. By using the Services, you represent that you are at least 18 and, where you provide information about a child, that you are that child's parent or legal guardian or are otherwise authorized to provide it. The Services are not directed to children, and children may not create accounts or use the Services directly. You are responsible for any information you choose to share about a child and for ensuring you have the authority to share it.

About Our Services

Keikens provides:

AI-Powered Guidance. Chat-based and informational features that use artificial intelligence to help parents and guardians explore questions about their children's education, development, and support needs, and to surface relevant resources and providers.
Activity Platform. A platform where parents and guardians can browse, register for, and purchase educational and extracurricular activities offered by independent Providers.

Booking/Scheduling. A calendar-based scheduling tool used to book availability and appointments, powered by Nylas, Inc.
We may add, change, or remove features. Outages or interruptions may occur, and we are not liable for temporary or permanent unavailability.
Safety & Integrity. 

We may remove users, Providers, or content for misuse and notify law enforcement if needed.

Your Details and Providers. When you book or register for an activity, we share the details relevant to that activity or appointment with the applicable Provider, solely so they can deliver it. Providers may not use that information for any other purpose.

Independent Providers. Providers are independent third parties, not employees or agents of Keikens. Keikens does not deliver the activities themselves and is not responsible for a Provider's conduct, services, qualifications, or the safety of any activity. Your transaction for an activity is between you and the Provider.

AI Features & No Professional Advice

Keikens' AI-powered guidance is generated by artificial intelligence, provided through our AI provider, Anthropic, PBC, and is offered for general informational purposes only.

Not professional advice. AI-generated content is not medical, psychological, psychiatric, therapeutic, diagnostic, legal, financial, or special-education advice, and using the Services does not create any professional, clinical, advisory, or fiduciary relationship between you and Keikens. Keikens is not a healthcare provider, licensed therapist, physician, attorney, or educational authority, and does not diagnose, treat, or evaluate any condition.

Limitations of AI output. AI-generated content may be inaccurate, incomplete, outdated, or not appropriate for your specific situation, and may produce similar responses for other users. You are responsible for independently evaluating any guidance and for consulting a qualified professional before making decisions about your child's health, education, development, or care. Never disregard or delay seeking professional advice because of something you read through the Services.

Emergencies. The Services are not for emergencies. If you are concerned about a child's immediate safety or wellbeing, contact a qualified professional or your local emergency number (such as 911) right away.

Not for regulated health data. Keikens is not a HIPAA covered entity, and the Services are not intended for the submission or exchange of protected health information in a regulated capacity. You should not rely on the Services to store or transmit such information.

Your Account
 

• You must register with accurate details (name, email, password, phone, address).

• Fraudulent accounts may be terminated.

• You are responsible for maintaining account security and updating your information.

• Notify us immediately if your account is compromised.
   

Privacy Policy & User Data

Your privacy is important. Our Privacy Policy explains how we collect, use, and share data, including how information you enter into our AI features is processed by Anthropic. The Privacy Policy is incorporated into these Terms.

Acceptable Use

You may not misuse the Services. Prohibited conduct includes:

• Violating laws or rights of others (privacy, IP, safety).

• Harassment, threats, exploitation, or obscene/illegal content.

• Impersonation or misrepresentation.

• Malware distribution, hacking, or scraping.

• Automated account creation.

• Reselling or redistributing Services without permission.

• Entering another person's personal or sensitive information into the AI features without authority to do so.

• Using the AI features to generate unlawful, harmful, or abusive content, or attempting to extract, reverse-engineer, or misuse the underlying AI models, or using outputs to develop a competing AI product or model.

• Relying on the AI features as a substitute for professional, medical, legal, or emergency services.
   

Your Content. You retain ownership of content you share. You grant Keikens the rights needed to host, process, display, and transmit your content. As between you and Keikens, you may use the outputs the AI generates for you, subject to these Terms and our providers' terms. We may remove content that violates our policies or the law.

Third-Party Services (Anthropic, Stripe & Nylas)

Anthropic (AI). AI-powered guidance is provided through Anthropic, PBC, which processes the inputs and outputs of your AI interactions to generate responses. Anthropic processes this data under its Commercial Terms and does not use it to train its models. Your use of AI features is also subject to Anthropic's applicable usage policies.

Stripe (Payments). Payments are processed by Stripe, Inc. When you purchase a subscription or an activity, your payment is handled by Stripe under its terms. Keikens does not store full payment card details.

Nylas (Scheduling). Booking/Scheduling is powered by Nylas, Inc., which processes calendar/email metadata to power availability and invitations. Keikens makes no independent representation of HIPAA compliance for Nylas.

Licenses

License by User. You grant Keikens a worldwide, non-exclusive, royalty-free, transferable license to host, use, reproduce, modify (for formatting), display, and distribute your content to operate the Services.

License to User. Keikens grants you a limited, non-exclusive, revocable license to use the Services for their intended purpose, subject to these Terms.

Fees & Payments

Keikens Subscription

Access to Keikens' family features is offered on a subscription basis for $199 per year, per family, plus any applicable taxes. Complimentary subscriptions, such as those gifted through promotions, are provided free of charge for their stated period. Paid subscriptions automatically renew unless canceled, and by subscribing you authorize recurring charges. You may cancel anytime, effective at the end of the current billing period; no refunds for partial periods unless required by law. We may adjust pricing with notice, and continued use after the effective date constitutes acceptance.

Activity Purchases

When you purchase an activity through the platform, your payment is processed by Stripe. Providers set their own prices, availability, and cancellation and refund policies. Cancellations, refunds, and any disputes about an activity are handled directly between you and the Provider. The commercial terms between Keikens and its Providers (including platform fees and payouts) are governed by the separate Provider Agreement and do not affect the price you see at checkout.

Reporting Intellectual Property Infringement

To report IP infringement, email support@keikens.com with:

• Your name, email, and phone

• Description of the IP right infringed

• Description/URL of the infringing content

• Statement of good faith, accuracy, and authority under penalty of perjury

• Your signature
   

Disclaimers & Release

The Services are provided "as is" without warranties of any kind. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or secure service, and we do not warrant the accuracy, completeness, or suitability of any AI-generated guidance or other content. You release Keikens and its affiliates from claims arising from third-party conduct or content, including the conduct of Providers.

Limitation of Liability

Where permitted by law, Keikens is not liable for indirect, incidental, consequential, or punitive damages; lost profits or revenue; data loss; service interruptions; or for any decisions or actions you take based on AI-generated guidance. Our total liability will not exceed the greater of:

• The amounts you paid to Keikens in the past three (3) months, or

• $100.
   

Indemnification

You agree to indemnify and hold harmless Keikens from claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from:

• Your use of the Services

• Your content

• Your violation of these Terms or applicable law

• Misrepresentations made by you
   

Dispute Resolution
 

• Informal Resolution. Parties will attempt to resolve disputes within 30 days of written notice.

• Mediation & Arbitration. If unresolved, disputes go to mediation in Minnesota. If still unresolved, the mediator will serve as arbitrator; the decision is final and binding.

• Governing Law. Minnesota law governs. Venue is in Minnesota courts.

• Opt-Out. You may opt out of arbitration by written notice within 30 days of accepting these Terms.

• Class Waiver. Disputes must be brought individually, not as class actions.
   

Availability, Term & Termination

• Services may be unavailable due to maintenance, outages, or events beyond our control.

• These Terms apply from acceptance until terminated.

• We may suspend or terminate accounts for violations. You may terminate by deleting your account or canceling subscriptions.

• Sections on Licenses, Fees & Payments, AI Features & No Professional Advice, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous survive termination.
   

Miscellaneous

• These Terms plus the Privacy Policy are the entire agreement.

• Keikens may assign these Terms; you may not without written consent.

• If any provision is invalid, the rest remain in force.

• Notices must be in writing and are deemed received upon delivery.
